These Terms of Service ("Terms") govern your access to and use of the Fairway website, mobile applications, and services (collectively, the "Services"), including our AI-powered rental property search platform, shortlist features, and related tools.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. We may update these Terms from time to time, and your continued use of the Services after any changes constitutes acceptance of the updated Terms.

2. Description of Services

Fairway is an AI-powered rental property search platform designed to help renters find apartments and potentially access exclusive discounts. Our Services include:

• AI-Powered Property Search: Natural language search capabilities to help you find rental properties that match your preferences
• Shortlist Management: Tools to save, compare, and manage properties you're interested in
• AI Copilot: An AI assistant that learns your preferences and helps navigate the rental search process
• Property Information: Access to property listings, photos, amenities, reviews, and other relevant data
• Communication Services: Assistance with contacting properties and scheduling tours

Fairway acts as an information and assistance platform. We do not own, manage, or lease any rental properties. All property information is provided for informational purposes and is subject to change without notice.

3. User Accounts and Registration

To access certain features of our Services, you may need to create an account or provide personal information such as your name and phone number. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. User Responsibilities and Prohibited Conduct

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Services for any illegal purpose or in violation of any applicable laws
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks
• Use any automated means (bots, scrapers, etc.) to access the Services without our express written permission
• Collect or harvest any information from the Services without authorization
• Transmit any viruses, malware, or other harmful code
• Harass, abuse, or harm other users, property managers, or our staff
• Submit false, misleading, or fraudulent information to properties or through our Services

5. Property Information and Third-Party Content

Fairway aggregates property information from various sources, including public listings, property management companies, and third-party data providers. While we strive to provide accurate and up-to-date information, we do not guarantee the accuracy, completeness, or reliability of any property information displayed on our platform.

You acknowledge and agree that:

• Property availability, pricing, and features may change without notice
• Photos and descriptions may not reflect current conditions
• Reviews and ratings are submitted by third parties and reflect their personal opinions
• You should independently verify all property information before making any rental decisions
• Any discounts or special offers are subject to property manager approval and availability

6. AI-Powered Features and Limitations

Fairway uses artificial intelligence and machine learning technologies to power various features, including property search, recommendations, and our AI Copilot assistant. You understand and agree that:

• AI-generated recommendations and responses are provided for informational purposes only
• AI systems may make errors or provide incomplete information
• AI recommendations should not be the sole basis for rental decisions
• We continuously work to improve our AI systems but cannot guarantee perfect accuracy
• Your interactions with AI features may be recorded and used to improve our Services

8. General Communications

In addition to Fairway Copilot communications, by using our Services you may receive:

• SMS/text messages for account verification (one-time codes)
• Email notifications about your account, saved searches, and shortlisted properties
• Service announcements and important updates
• Marketing emails (which you may opt out of at any time)

You can manage your email preferences in your account settings or by clicking the unsubscribe link in any marketing email.

9. Intellectual Property Rights

The Services and all content, features, and functionality (including but not limited to software, text, graphics, logos, icons, images, audio clips, and data compilations) are owned by Fairway, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial rental search purposes. You may not:

• Copy, modify, or distribute any content from the Services without permission
• Use any Fairway trademarks or branding without written consent
• Reverse engineer, decompile, or disassemble any portion of the Services
• Remove any copyright or proprietary notices from the Services

10. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Fairway does not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not guarantee any specific results from using the Services, including but not limited to finding a rental property or obtaining any discounts.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAIRWAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Services
• Any property-related transactions or decisions
• Unauthorized access to or alteration of your data or transmissions
• Statements or conduct of any third party on the Services
• Any other matter relating to the Services

Our total liability for any claims arising from your use of the Services shall not exceed the amount you paid to Fairway, if any, in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Fairway, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved informally, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Delaware.

You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fairway regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
